Terms of Service

1.1 MrrBase, LLC provides APIYI, an aggregation gateway that proxies requests to third-party large language model providers including, but not limited to, OpenAI, Anthropic (Claude), Google (Gemini), and xAI (Grok).

1.2 We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will use reasonable efforts to notify users of material changes.

2.1 You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep it updated.

2.2 You are responsible for safeguarding your account credentials and for any activity that occurs under your account.

2.3 You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service.

3.1 You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations.

3.2 You will not use the Service to engage in any activity that is illegal, fraudulent, harmful, or that infringes on the rights of others.

3.3 You will not attempt to interfere with, disrupt, or compromise the integrity or performance of the Service.

3.4 Your use of the Service is also governed by our Acceptable Use Policy.

4.1 The Service, including all associated trademarks, logos, and software, is owned by MrrBase, LLC and protected by United States and international intellectual property laws.

4.2 You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written permission.

4.3 Content you submit through the Service remains your property. You are solely responsible for the content you transmit through the Service.

5.1 Fees for the Service are published on our website and may be updated from time to time.

5.2 All fees are billed in United States Dollars (USD) unless otherwise indicated.

5.3 Refunds are governed by our Refund Policy, available at /refund.

6.1 Payments are processed by Stripe, Inc. ("Stripe") on behalf of MrrBase, LLC. By making a payment, you also agree to the Stripe Services Agreement, available at https://stripe.com/legal/ssa.

6.2 We do not store full payment card numbers on our servers. Card data is transmitted directly to Stripe over TLS-encrypted connections.

6.3 You represent that you are authorized to use the payment method you provide and that the billing information is accurate.

7.1 Your use of the Service is also governed by our Privacy Policy, available at /privacy, which is incorporated into these Terms by reference.

8.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 We do not warrant that the Service will be uninterrupted, error-free, secure, or that any defects will be corrected.

8.3 We are not responsible for the accuracy, reliability, or appropriateness of any output generated by third-party AI models accessed through the Service.

9.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, MRRBASE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

9.2 OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

10.1 You agree to indemnify and hold harmless MrrBase, LLC, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or your violation of these Terms.

11.1 Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

12.1 The Service is provided from the United States and is subject to U.S. export control and sanctions laws, including the regulations administered by the Office of Foreign Assets Control (OFAC).

12.2 You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions (currently including Cuba, Iran, North Korea, Syria, the Crimea, Donetsk, and Luhansk regions of Ukraine), and that you are not on any U.S. government list of restricted or prohibited persons.

12.3 The availability of card-based checkout is also subject to the supported regions of our payment processor, Stripe. Stripe does not currently support payments from certain countries, including Russia and Belarus. Users in those regions may still register and use the Service through alternative payment channels (e.g., WeChat Pay, Alipay, bank transfer, cryptocurrency); please contact [email protected] for arrangements.

13.1 We respect the intellectual property rights of others. If you believe that material available through the Service infringes your copyright, please send a written notice to [email protected] that includes (a) a description of the copyrighted work, (b) the location of the alleged infringement, (c) your contact information, (d) a statement of good faith belief, and (e) a statement of accuracy under penalty of perjury, and your physical or electronic signature.

14.1 We may modify these Terms from time to time. We will post the updated Terms on our website and update the "Last updated" date.

14.2 Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree, you must stop using the Service.

15.1 We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including for violation of these Terms.

15.2 Sections that by their nature should survive termination (including Sections 4, 8, 9, 10, 12, 16, 17) shall survive.

16.1 These Terms and any dispute arising out of or related to these Terms or the Service shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

16.2 Any legal action or proceeding shall be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of such courts.

16.3 The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17.1 Entire Agreement: These Terms, together with our Privacy Policy, Refund Policy, and Acceptable Use Policy, constitute the entire agreement between you and MrrBase, LLC regarding the Service.

17.2 Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.3 No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

17.4 Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
